All content, systems, processes, frameworks, digital assets, documents, deliverables, and intellectual property provided by Universal Broker Solutions (“UBS”) are the sole and exclusive property of Universal Broker Solutions, a North Carolina-based business entity.

 

By accessing, licensing, or engaging with any of our products, services, or systems, you acknowledge and agree to the following:

 

1. Ownership of Intellectual Property

 

All intellectual property—including but not limited to our proprietary models, templates, operational frameworks, process structures, digital content, graphics, documentation, websites, tools, and custom systems—remains the exclusive property of Universal Broker Solutions, regardless of customization or delivery to the licensee.

 

2. Prohibited Use

 

You may not duplicate, recreate, reverse engineer, reproduce, republish, resell, sublicense, distribute, or transmit any portion of our intellectual property in any form without prior written consent from Universal Broker Solutions. All usage is strictly limited to the licensed licensee and their internal team, for the duration of the licensing agreement.

 

3. License Use Only

 

Our intellectual property is made available to clients under a limited, non-transferable, non-exclusive license. It is not sold or transferred to the licensee. The use of our models and materials is strictly governed by the terms of your agreement and may not be reused, resold, or redistributed outside of the defined scope.

 

4. Legal Protections

 

Universal Broker Solutions protects its intellectual property under the United States Copyright Act (Title 17, U.S. Code) and applicable trademark and trade secret laws. Under North Carolina law, we may also seek legal remedy for misappropriation or infringement under the North Carolina Trade Secrets Protection Act (NC Gen Stat § 66-152 et seq.), which prohibits unauthorized use, disclosure, or theft of proprietary business assets.

 

Violators of these protections may be subject to legal action, including injunctive relief, monetary damages, recovery of legal fees, and termination of access to all services and products.

 

5. Acknowledgment of Terms

 

By accessing or using any materials from Universal Broker Solutions, you agree to these terms and understand that all intellectual property rights are retained exclusively by UBS. Unauthorized use will be treated as a violation of federal and state law.
